OFFER AGREEMENT

This Agreement is a public contract, a Public Offer Agreement. By fully agreeing to this Agreement, the buyer accepts the terms and conditions of order placement, payment, and product delivery.

This Agreement is made between the online store "olla.ua" (hereinafter referred to as the "Seller") and any individual who is a resident of Ukraine, over 18 years of age, fully capable, and a user of the online store’s services, hereinafter referred to as the "Buyer" (hereinafter – "Buyer"), encompassing all essential terms for organizing a purchase-sale remotely (i.e., through the Internet store).

The terms of this Agreement regulate the relationship between the Seller and the Buyer and are determined by the Law of Ukraine "On Consumer Protection" No. 1023-XII dated May 12, 1991, as well as the Rules of Retail Sales of Non-Food Products approved by the Order of the Ministry of Economy of Ukraine No. 104 dated April 19, 2007.

This agreement constitutes a public offer, equivalent to an "oral agreement" and has full legal force in accordance with the current legislation of Ukraine.

1. General Provisions
1.1. This contract is a public offer (in accordance with Articles 633, 641, and Chapter 63 of the Civil Code of Ukraine) and contains all essential conditions for organizing a purchase-sale remotely, i.e., through the online store.

1.2. In accordance with Article 642 of the Civil Code of Ukraine, full and unconditional acceptance of the terms of the public contract, that is, the public offer of the online store, is confirmed by clicking the "Place Order" or "Buy in 1 Click" link and paying for the order in full as per the terms of this agreement.

1.3. The public offer is also considered accepted when the Buyer registers on the website of the online store.

1.4. By entering into the Agreement, the Buyer confirms that they are fully acquainted with and agree with its terms. If the Buyer is an individual, they consent to the processing of their personal data to enable the execution of the Agreement, conduct of transactions, as well as for the issuance of invoices, acts, and other documents. The consent to process personal data remains in effect throughout the term of the Agreement. Furthermore, by entering into this Agreement, the Buyer confirms that they are aware (without additional notification) of the rights established by the Law of Ukraine "On Personal Data Protection" regarding the purposes of data collection. The scope of the Buyer's rights as a subject of personal data in accordance with the Law of Ukraine "On Personal Data Protection" is known and understood to them.

1.5. Seller – FOP "Naumenko Volodymyr Serhiiovych" (identification code 3218124378), established and operating in accordance with the current legislation of Ukraine

or

FOP "Sokil Hanna Serhiivna" (identification code 3390012341), established and operating in accordance with the current legislation of Ukraine

or

FOP "Tanasohlo Olena Mykolaivna" (identification code 3212219963), established and operating in accordance with the current legislation of Ukraine

2. Terms and Definitions
2.1. "Internet Store" - the Seller’s website ("olla.ua"), created for concluding retail and wholesale purchase-sale contracts based on the Buyer's acquaintance with the Seller’s offered product descriptions through photos on the Internet, which excludes the possibility of the Buyer directly inspecting the product – a remote means of product sale.

2.2. "Product" - the assortment list presented in the online store.

2.3. "Personal Data" - any information that directly or indirectly relates to a specific individual or to an identifiable individual.

2.4. "Significant Product Defect" - a defect that makes the use of the product impossible or inadmissible for its intended purpose, caused by the manufacturer's (Seller’s) fault, reappears after its removal for reasons independent of the consumer, and meets at least one of the following criteria:

a) it cannot be eliminated at all;

b) its elimination requires more than fourteen calendar days;

c) it makes the product substantially different from what is stipulated in the contract.

3. Subject of the Agreement
3.1. The online store undertakes to transfer the product into the Buyer’s ownership, and the Buyer undertakes to pay for and accept the product under the terms of this Agreement.

3.2. This agreement regulates the purchase-sale in the online store, including:

a) the Buyer's voluntary selection of products in the online store by category;

b) the Buyer's independent order placement on the online store’s website;

c) payment by the Buyer of the order placed in the online store;

d) execution and transfer of the order to the Buyer’s ownership under the terms of this Agreement.

4. Order Placement Procedure
4.1. The Buyer places an order independently online in the online store or through telephone communication as per the contacts listed on the online store.

5. Product Cost and Payment Procedure
5.1. The full cost of the product is indicated on the pages of the Seller’s online store.

5.2. Prices for products and services may change depending on market conditions, which is reflected in the prices in the online store. The Seller cannot change the price for a specific Buyer if they have already accepted the Seller’s terms and made payment in accordance with the order of payment stipulated in this Agreement.

5.3. The Buyer shall pay for the order within 2 working days (in the amount of a 100% prepayment) via bank transfer to the Seller’s current account specified in the invoice, including through Internet banking.

6. Order Delivery
6.1. The product is shipped to the Buyer after receiving 100% payment from the Buyer as per the issued invoice.

6.2. The product delivery and return is executed by the Seller or a transport company (carrier) at the Buyer's expense. The total delivery period shall not exceed 10 days.

6.3. The cost of delivery is not indicated in the online store, as it depends on the current tariffs of the transport company (carrier).

6.4. When ordering wholesale quantities, delivery terms and methods are agreed upon individually in each case.

6.5. The Seller is not responsible for the order delivery time, as they depend on the actions of third parties (carriers).

6.6. The Buyer shall independently pay the delivery cost to the Carrier company upon receipt of the product. The exact delivery cost is determined by the Carrier company.

7. Return of Quality Goods
7.1. The Buyer has the right to exchange quality goods for similar ones from the seller from whom they were purchased if the product does not satisfy them by shape, dimensions, style, color, size, or other reasons and cannot be used for its intended purpose, under the following conditions:

A) the product is presented to the Seller for exchange within no more than fourteen days, not counting the day of purchase;

B) the product can be exchanged if it has never been used, shows no traces of use, and retains its commercial appearance, consumer properties, seals, labels, films, and the integrity of the packaging of both the product itself and its components;

C) the product has no scratches, chips, or abrasions and is fully functional;

D) the full set of the sold product is preserved;

E) the product can be exchanged upon presentation of the settlement document issued to the Buyer along with the sold product.

7.1.1. The requirements of clause 7.1 do not apply to products that, according to Appendix No. 3 to the Resolution of the Cabinet of Ministers of Ukraine dated 19.03.94 No. 172 "On the Implementation of Certain Provisions of the Law of Ukraine 'On Consumer Protection'", are included in the List of goods of appropriate quality that are not subject to exchange (return).

7.2. If the product does not meet the conditions specified in clauses A) - E) of clause 7.1, the Seller has the right to refuse the product exchange.

7.3. The transport costs for product delivery during an exchange under clause 7.1 are borne by the Buyer.

7.4. When exchanging the product, the warranty period is recalculated from the day of the exchange.

7.5. If a similar product is not available for sale at the time of exchange, the Buyer has the right to purchase any other products from the available assortment with an appropriate cost adjustment, terminate the contract and receive a refund in the amount of the returned product’s value, or exchange the product for a similar one as soon as the corresponding product becomes available for sale.

8. Rights and Obligations of the Parties
8.1. The Buyer shall:

a) familiarize themselves with the product information posted on the Seller’s website;

b) place an order independently on the website;

c) pay on time and receive the order from the Carrier under the terms of this Agreement;

d) upon receiving the product from the carrier, ensure its integrity and completeness by inspecting the contents of the packaging. If any damage or incomplete parts are found, they should be recorded in an act, which the Buyer and the carrier’s representative should sign.

8.2. The Buyer has the right to require the online store to comply with the terms of this Agreement.

8.3. The online store shall:

a) adhere to the terms of this Agreement;

b) transfer the product to the Buyer in accordance with the selected sample on the relevant page of the online store, with the order and terms of this Agreement fulfilled;

c) the online store is not responsible, cannot act as a defendant in court, or bear any responsibility for compensation for damages incurred by the Buyer due to the improper use of products purchased in the online store.

8.4. Internet Store Rights

The internet store may:
- Suspend services unilaterally if the Buyer violates the terms of this Agreement.

9. Product Acceptance Procedure

9.1. Upon receiving the Product from the carrier, courier, or Seller, the Buyer must check the package's exterior integrity, then open it and ensure the Product has no mechanical damage and is complete.

9.2. If any issues listed in 9.1 are present, the Buyer must document them in a report signed by both the Buyer and the carrier or Seller. Within 1 day of signing, the Buyer must inform the manager to arrange for a replacement.

9.3. If these steps are not followed, the Product is considered to be received in satisfactory condition.

9.4. If major defects or counterfeit are discovered within the warranty period, verified by an expert report, the Buyer may choose to:

- Terminate the contract for a refund.
- Replace the product with an identical or similar item, subject to availability.

9.5. Once defects are confirmed, the Seller will refund within 7 days of Product return.

9.6. The Seller covers the carrier costs for defective Product replacement.

9.7. Product returns must be in the original packaging, maintaining the Product’s appearance and qualities.

9.8. Warranty-related concerns not covered by this Agreement adhere to the manufacturer's warranty obligations or, if none, Ukraine’s legislation.

10. Liability of the Parties

10.1. Both parties are liable for non-performance or improper performance of this Agreement, as provided by current Ukrainian law.

10.2. Force majeure releases parties from fulfilling Agreement terms. Such events include extraordinary, unforeseen, and unavoidable circumstances.

10.3. The affected party must notify the other party of force majeure events within five days via email.

10.4. If force majeure delays fulfillment for more than five months, either party may terminate the Agreement, informing the other in writing.

10.5. Both parties will strive to resolve disputes through negotiation.

11. Other Conditions

11.1. The online store reserves the right to amend this Agreement unilaterally, publishing changes on "olla.ua."

11.2. The store is designed to enable remote sales via the internet.

11.3. The store is not responsible for the accuracy of information provided by the Buyer when placing orders.

11.4. The Buyer is responsible for the truthfulness of provided information.

11.5. Payment confirms full acceptance of the Agreement’s terms, establishing a sales contract between the Seller and Buyer.

11.6. Browsing products and placing orders on the website is free for the Buyer.

11.7. The Buyer’s information is confidential, used only for store functions, such as order updates and promotional communications.

11.8. By accepting the Agreement or registering, the Buyer consents to the collection and processing of their personal data for commercial purposes.

11.9. The Buyer authorizes the Seller to process their data, ensuring data protection from unauthorized third-party access.

11.10. The Buyer can unsubscribe from promotions by contacting the Seller.

12. Agreement Term

12.1. The Agreement takes effect upon order placement or registration on "olla.ua" and remains valid until all conditions are met.
